Software License Agreement

Licence terms that apply to all RGB software, including RGB applications and custom software deliverables.

Plain-language summary

  • You get a licence, not ownership. RGB keeps the intellectual property in its software and reusable code; you get the right to use it as described here and in your Order.
  • Your data is yours. RGB applications are designed to keep your data on your devices and in accounts you control. Each application's product terms and privacy notice describe the specifics.
  • Custom work: unless your signed agreement says otherwise, RGB owns what it builds and you receive a perpetual licence to use the versions delivered to you, even after the engagement ends.
  • Don't resell, reverse-engineer, or remove RGB's notices.
  • Warranties are only those stated in your Order; otherwise the software is provided "as is", and the liability limits in the Terms of Service apply.

This summary is provided for convenience only and is not part of the agreement. If anything in the summary differs from the full terms below, the full terms govern.

This Software License Agreement (the "Licence") is a Service Schedule to the RGB Terms of Service and applies to software made available by RGB Technologies Inc. ("RGB"), including RGB applications, command-line tools, scripts, cloud functions and other utilities, and custom software Deliverables developed for you under an Order (together, the "Software"). Capitalized terms have the meanings in the Terms of Service.

Product terms. An RGB application may also have its own product terms and privacy notice, listed on RGB's Legal page. Product terms add points specific to that application and prevail over this Licence for that application where they differ.

1. Licence grant

1.1 RGB applications. Subject to the Agreement and payment of applicable fees, RGB grants you a non-exclusive, non-transferable, revocable licence to install and use the Software for the number of users, devices, accounts or instances stated in your Order (or for your own use if none is stated), for your internal business or personal purposes during the licence term.

1.2 Custom Deliverables. Unless a Signed Agreement expressly assigns ownership to you, RGB owns custom software Deliverables and grants you, on payment, a perpetual, non-exclusive, non-transferable, royalty-free licence to use, run and internally modify the versions delivered to you, including after the Agreement ends. Client-specific configuration, data, rules and content that embody your Customer Data are yours.

1.3 Funded development. Where an Order includes development time paid for through a subscription, retainer or similar arrangement, the resulting improvements are RGB Materials owned by RGB and licensed to you under 1.2. RGB may reuse generalized improvements in its software for other customers, without including your Customer Data or client-specific configuration.

1.4 Updates. RGB may provide updates, which are part of the Software and subject to this Licence. Some updates may be required for continued support or security.

2. Restrictions

You will not, and will not permit others to: (a) copy (other than for backup), distribute, sublicense, rent, lease or resell the Software; (b) reverse-engineer, decompile or attempt to derive source code, except where the law expressly permits; (c) remove or alter proprietary notices; (d) use the Software to build a competing product; (e) use the Software in violation of the Acceptable Use Policy or applicable law; or (f) circumvent licence controls or usage limits.

3. Ownership

The Software, RGB Materials, and all intellectual property rights in them are and remain the property of RGB and its licensors. All rights not expressly granted are reserved. You own your Customer Data and the outputs you create with the Software (such as reports, spreadsheets and exports).

4. Your data

4.1 RGB applications are designed to keep your data on your devices and in accounts you control where the design allows. What each application stores, and where, is described in its product terms and privacy notice.

4.2 Diagnostics. RGB applications may send failure and update events to RGB so that RGB can detect and fix problems. Where they do, the application's privacy notice describes what is sent and how identifying values are protected.

4.3 Credentials that the Software stores on your device are kept in the operating system's secure credential store where the platform provides one.

5. AI features

Some features use machine-learning models to extract or classify information. Before you enable a feature that sends content to an external AI provider, RGB will disclose which provider it uses and what is sent, and the feature will be off by default. Automated suggestions are aids, not decisions; you remain responsible for reviewing them.

6. Third-party components and platforms

6.1 The Software may include open-source components governed by their own licences; a list is available in the application or on request. Those licences take precedence for those components to the extent of any conflict.

6.2 Where you obtain Software through a third-party app store or platform marketplace, that platform's terms also apply, as described in the product terms. The platform provider is not a party to this Licence.

7. Support and maintenance

Support is provided as described in your Order or, if none, on a reasonable-efforts basis during Business Days by email to support@rgbx.com. RGB may require you to install the current release to receive support. RGB may retire a product or feature on reasonable notice and will provide a means to export your data.

8. Term and termination

This Licence lasts for the term of your Order (or perpetually for custom Deliverables licensed under 1.2) and ends if you materially breach it and do not cure the breach as described in Section 12.3 of the Terms of Service. On termination you must stop using the Software (except perpetually licensed Deliverables) and delete RGB copies; your Customer Data remains yours and exportable.

9. Warranty, liability and indemnity

Any warranty for the Software is as stated in your Order. Otherwise the Software is provided "as is", and Sections 13 (Warranties and disclaimers), 14 (Limitation of liability) and 15 (Indemnification) of the Terms of Service apply to this Licence.

10. Licence compliance

On reasonable notice, RGB may ask you to confirm in writing that your use of the Software complies with your Order. If use exceeds the licensed scope, you will pay the applicable fees for the excess.
